These Terms form a contract between you and NEXTB LTD (company number 15920637), trading as SongSprig. By accessing or continuing to use SongSprig, creating an account, or buying credits, you agree to them. Analytics collection is governed separately by the regional and interaction rules in the Privacy Policy.
1. Eligibility and your account
- You must be at least 18 and legally able to enter into a binding contract.
- You must provide accurate information, protect your sign-in email and session, and notify us promptly of suspected unauthorised access.
- You are responsible for activity under your account unless caused by our failure to use reasonable care.
- You may not sell, transfer, share, or automate access to an account in a way that bypasses plan, credit, or security limits.
2. The service and AI outputs
SongSprig provides AI-assisted music, lyrics, audio, image, voice, editing, storage, and related workspace features. Feature availability, models, limits, and credit costs may differ by plan and may change as providers or safety requirements change.
AI output is probabilistic. We do not guarantee accuracy, uniqueness, copyright protection, commercial suitability, uninterrupted availability, or that an output will not resemble material created for another user. You must review outputs before relying on or publishing them.
3. Your content, permissions, and voice rights
- You retain ownership of content you upload and any rights you may lawfully have in generated output.
- You grant us and our service providers a limited, worldwide licence to host, copy, transmit, transform, and process content only as needed to operate, secure, support, and improve the requested service.
- You must own or have all licences, permissions, releases, and consents required for every prompt, lyric, recording, composition, image, voice, likeness, trademark, and other material you provide or ask us to process.
- You must not clone, imitate, train on, or publish a real person's voice or likeness without their informed permission and any other rights required by law.
- You are responsible for clearance of samples, covers, remixes, derivative works, distribution, publicity, and commercial use. SongSprig does not grant rights in third-party material.
Disabling or hiding a workflow does not remove your responsibility for material used in any upload, remix, voice, or generation request.
4. Acceptable use
- Do not use SongSprig for unlawful, fraudulent, deceptive, exploitative, harassing, hateful, sexually abusive, privacy-invasive, or rights-infringing activity.
- Do not upload malware, attack the service, scrape private data, bypass technical or billing limits, farm free credits, interfere with other users, or probe accounts you do not own.
- Do not misrepresent AI output as an authenticated recording of a person, or use it to impersonate, defraud, defame, or manipulate others.
- Do not use the service where prohibited by sanctions, export controls, or applicable law.
5. Plans, credits, downloads, and commercial use
- Prices, taxes, included credits, billing intervals, limits, and plan features are shown before purchase.
- Subscription credits refresh monthly and do not roll over. Annual billing changes the price schedule, not the monthly credit refresh.
- One-time credit packs expire 365 days after purchase. Subscription credits are used before pack credits.
- Different tools use different credit amounts. A failed eligible task may restore reserved SongSprig credits; this is not a cash refund.
- Download and commercial-use rights depend on the plan shown at purchase. At launch, commercial-use rights are offered on active yearly paid plans; monthly plans are for personal projects unless checkout expressly states otherwise.
6. Subscriptions and cancellation
Subscriptions renew automatically at the interval shown at checkout until cancelled. You can cancel from Account → Billing. Unless mandatory law or the Refund Policy says otherwise, cancellation stops future renewals and your access continues until the end of the paid period.
Plan changes, renewal dates, and any immediate or scheduled billing effect are shown in the Stripe-hosted billing flow. You are responsible for keeping a valid payment method and reviewing confirmation messages.
7. Refunds and consumer rights
Our voluntary refund terms are described in the Refund Policy. They do not limit rights that cannot lawfully be excluded, including remedies for services or digital content that are not as described, are not of satisfactory quality, or are not supplied with reasonable care and skill.
If a statutory cooling-off right applies, contact us promptly. Where you expressly request immediate service and use credits or generated results during that period, we may account for the service already supplied only to the extent permitted by law.
8. SongSprig intellectual property
We and our licensors own the SongSprig software, brand, interface, documentation, and service technology. These Terms give you a limited, revocable, non-exclusive right to use the service for its intended purpose; they do not transfer our intellectual property.
To report copyright or other rights infringement, email support@songsprig.ai with your identity, the protected work, the material complained of, its location, your good-faith statement, and evidence that you are authorised to act.
9. Suspension and termination
We may restrict or suspend access where reasonably necessary to protect users, comply with law, investigate suspected fraud or infringement, prevent provider harm, or address a material breach. We will act proportionately and give notice where reasonably possible.
You may stop using SongSprig and request account deletion. Terms that by their nature should continue—including payment, ownership, rights clearance, disclaimers, liability, records, and dispute provisions—survive termination.
10. Warranties and liability
Nothing in these Terms excludes liability that cannot legally be excluded, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or your non-excludable consumer rights.
Subject to that rule, SongSprig is provided on an as-available basis. We are not responsible for losses that were not reasonably foreseeable when the contract was formed, losses caused by material you lacked rights to use, third-party provider outages outside our reasonable control, or business losses suffered by a consumer.
For business users only, our aggregate liability arising from SongSprig is limited to the amount you paid us in the 12 months before the event giving rise to the claim, except where the law does not allow that limit.
11. Changes, governing law, and contact
We may update these Terms for legal, security, provider, or product reasons. Material changes will be posted and, where appropriate, notified before they take effect. Continuing to use the service after the effective date means you accept the revised Terms.
These Terms are governed by the laws of England and Wales. Courts in England and Wales have jurisdiction, but consumers retain any mandatory protections and rights to bring proceedings available where they live.
